1. Acceptance of These Terms

These Terms and Conditions ("Terms") form a binding agreement between you ("Client," "you," or "your") and Beyond Generation Corporation, a Virginia corporation doing business as Local Boost Pro ("Local Boost Pro," "Company," "we," "us," or "our"). They apply to your use of our website at www.local-boost.pro (the "Site"), and to any proposal, order form, invoice, statement of work, or service agreement (each a "Service Agreement") that references these Terms.

By accessing or using the Site, submitting an inquiry, signing a Service Agreement, making a payment, or otherwise engaging Local Boost Pro for services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Site or engage our services.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" and "Client" refer to that entity.

2. Company Information

"Local Boost Pro" is an assumed/fictitious business name registered with the Commonwealth of Virginia State Corporation Commission (assumed name filing effective April 4, 2026) as a trade name of Beyond Generation Corporation. All contracts, invoices, and services provided under the "Local Boost Pro" name are provided by, and legally binding upon, Beyond Generation Corporation.

3. Definitions

"Services" means the website design and development, digital marketing and advertising campaign management, AI-assisted video editing and content production, sales funnel and workflow automation, and related digital agency services that Local Boost Pro provides, as described on the Site or in a Service Agreement.

"Deliverables" means the specific files, assets, designs, campaigns, videos, funnels, or other work product Local Boost Pro creates for a Client under a Service Agreement.

"Client Content" means any text, images, video, logos, trademarks, data, credentials, or other materials the Client provides to Local Boost Pro for use in the Services.

"Third-Party Platforms" means external platforms and services used to deliver the Services, including but not limited to Meta (Facebook/Instagram) Ads, Google Ads, TikTok Ads, YouTube, hosting and domain registrars, payment processors, AI generation tools, and similar services not owned or controlled by Local Boost Pro.

4. Description of Services

Local Boost Pro offers digital agency services that may include, without limitation: website design, development, hosting coordination, and maintenance; digital marketing and paid advertising campaign management (e.g., Meta, Google, TikTok); social media content strategy, creation, and scheduling; AI-assisted and AI-generated video editing, avatars, and multimedia content production; sales funnel design, marketing automation, and workflow/CRM setup; brand identity, content calendars, scripts, and related creative deliverables.

The exact scope, specifications, timeline, and fees for any engagement will be set out in a written proposal, invoice, or Service Agreement. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement controls with respect to the specific engagement it covers, and these Terms govern all matters it does not address.

5. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use our Services. By engaging Local Boost Pro, you represent that all information you provide is accurate, current, and complete, and that you have the right to authorize the use of any Client Content, brand assets, ad accounts, and platform access you provide to us.

6. Quotes, Proposals & Scope Changes

Quotes and proposals are estimates based on the information available at the time and are valid for 30 days unless otherwise stated. Work begins only after a Service Agreement is signed (or accepted in writing/by email) and any required deposit is received. Requests that fall outside the agreed scope of work ("scope creep") — including additional pages, ad creatives, revision rounds, video assets, funnel steps, or integrations not listed in the Service Agreement — will be quoted separately and may extend the delivery timeline.

7. Fees, Payment Terms & Deposits

Unless otherwise agreed in writing:

  • A non-refundable deposit of 50% of the total project fee is due before work begins on website, funnel, or video production projects.
  • The remaining balance is due upon completion and before final files, credentials, or Deliverables are transferred, or per the milestone schedule in the Service Agreement.
  • Recurring services (e.g., ongoing marketing management, content packages, hosting/maintenance) are billed in advance on a monthly or otherwise agreed cycle and renew automatically until cancelled per Section 9.
  • Invoices not paid within 15 days of the due date are considered past due and may accrue a late fee of 1.5% per month (or the maximum permitted by law) and may result in suspension of Services.
  • All fees are exclusive of applicable taxes, third-party costs, software or platform subscription fees, and advertising spend, which are the Client's responsibility unless expressly included in the Service Agreement.

8. Project Timelines, Delivery & Client Cooperation

Estimated timelines are provided in good faith but are not guaranteed, as they depend on the timely delivery of Client Content, feedback, approvals, and access credentials. Delays caused by the Client — including late responses, incomplete materials, or delayed payment — will extend the delivery date accordingly and are not the responsibility of Local Boost Pro. If the Client is unresponsive for 30 or more consecutive days, Local Boost Pro may pause or terminate the project under Section 19.

9. Revisions, Cancellations & Refunds

Revisions. Each Service Agreement specifies the number of included revision rounds (typically two, unless stated otherwise). Additional revisions, or changes requested after final approval and delivery, will be billed at Local Boost Pro's then-current hourly rate.

Cancellations by Client. The Client may cancel a project or recurring service in writing at any time. Deposits and fees for work already performed are non-refundable. For recurring services, cancellation takes effect at the end of the current billing cycle unless a longer notice period is specified in the Service Agreement.

Cancellations by Local Boost Pro. We reserve the right to decline, pause, or terminate a project for any lawful reason, including non-payment, abusive conduct, or a request to produce unlawful, infringing, or misleading content. In such cases, we will refund any prepaid fees for work not yet performed, less costs already incurred (e.g., third-party fees, ad spend committed).

Refunds generally. Except as stated above or required by law, all fees are non-refundable once work has commenced, as they reflect time, resources, and third-party costs already allocated to the project.

10. Intellectual Property & Ownership

Client-owned Deliverables. Upon full and final payment, the Client receives ownership of the final, approved Deliverables created specifically for that project (e.g., the final website files, final video exports, final funnel copy), except for any pre-existing or third-party materials described below.

Local Boost Pro / third-party materials. Local Boost Pro retains ownership of its pre-existing tools, templates, code libraries, frameworks, proprietary processes, and any internal working files not delivered as part of the final Deliverables. Stock assets, fonts, plugins, AI models, and other third-party materials used in a project remain subject to their own licenses, and the Client's rights to use them are limited accordingly.

Portfolio use. Unless the Client opts out in writing, Local Boost Pro may display completed work (including website screenshots, ad creatives, and video excerpts) in its portfolio, case studies, and marketing materials.

Client Content license. The Client grants Local Boost Pro a non-exclusive, royalty-free license to use, reproduce, and modify Client Content solely as necessary to perform the Services.

11. Client-Provided Content & Third-Party Materials

The Client is solely responsible for the accuracy, legality, and rights status of all Client Content it supplies, and represents that it owns or has the necessary licenses, consents, and permissions to use such content (including any trademarks, images, testimonials, or copyrighted material) and to authorize Local Boost Pro to use it in the Services. Local Boost Pro is not responsible for verifying the ownership or accuracy of Client Content and disclaims liability for claims arising from Client-supplied materials.

12. AI-Generated Content Disclaimer

Some Deliverables (including certain videos, avatars, voiceovers, images, and copy) may be produced in whole or in part using artificial intelligence tools and third-party AI platforms. The Client acknowledges that:

  • AI-generated content may occasionally contain inaccuracies, inconsistencies, or unintended similarities to existing works, and Local Boost Pro reviews such content for reasonableness but does not guarantee perfect accuracy or originality.
  • AI-generated likenesses, voices, or avatars (including "digital human" style presenters) will only be created using imagery, voice, or likeness the Client has confirmed it has the rights and consents to use.
  • Use of AI tools is subject to the terms, output policies, and content restrictions of the underlying third-party AI platform, which are outside Local Boost Pro's control.
  • The Client is responsible for reviewing and approving all AI-assisted Deliverables before publication or distribution.

13. Marketing, Advertising & Campaign Performance Disclaimer

Local Boost Pro will use commercially reasonable skill and effort in planning, building, and managing marketing campaigns, funnels, and advertising. However, the Client acknowledges and agrees that:

  • Local Boost Pro does not guarantee specific results, including but not limited to traffic, leads, conversions, sales, rankings, engagement, follower counts, or return on ad spend.
  • Marketing and advertising performance depends on factors outside our control, including platform algorithms, market conditions, competition, budget levels, ad account history, and the Client's own products, pricing, and offers.
  • Third-Party Platforms (Meta, Google, TikTok, etc.) may change their policies, pricing, or approval processes at any time, may reject, restrict, or disable ad accounts or content, and such actions are outside Local Boost Pro's control and are not grounds for a refund of service fees already earned.
  • The Client remains solely responsible for the legality, accuracy, and compliance of its products, services, offers, and claims advertised through the Services, including compliance with applicable advertising, consumer protection, and industry-specific regulations.

14. Third-Party Platforms & Account Access

Where the Services require access to the Client's accounts (e.g., domain registrar, hosting, ad accounts, social media, CRM, or email platforms), the Client is responsible for providing timely and accurate access. Local Boost Pro is not responsible for outages, policy changes, data loss, security incidents, or fees imposed by such Third-Party Platforms, and any fees charged directly by those platforms are the Client's responsibility.

15. Confidentiality

Each party agrees to keep confidential any non-public business, technical, or financial information disclosed by the other party in connection with the Services, and to use such information only for purposes of the engagement. This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party, or is required to be disclosed by law.

16. Warranties & Disclaimers

Local Boost Pro will perform the Services in a professional and workmanlike manner consistent with industry standards. Except as expressly stated in a Service Agreement, the Services and Deliverables are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Services will be uninterrupted, error-free, or achieve any particular business outcome.

17. Limitation of Liability

To the maximum extent permitted by law, in no event will Beyond Generation Corporation, its officers, employees, contractors, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to the Services or these Terms, even if advised of the possibility of such damages. Local Boost Pro's total aggregate liability arising out of or relating to a Service Agreement will not exceed the total fees paid by the Client to Local Boost Pro for the specific Services giving rise to the claim in the three (3) months preceding the event giving rise to liability.

18. Indemnification

The Client agrees to indemnify, defend, and hold harmless Beyond Generation Corporation (d/b/a Local Boost Pro) and its officers, employees, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of: (a) Client Content or the Client's products, services, or advertising claims; (b) the Client's breach of these Terms or applicable law; or (c) the Client's misuse of the Services or Deliverables.

19. Termination

Either party may terminate a Service Agreement for convenience upon 30 days' written notice, or immediately if the other party materially breaches these Terms and fails to cure the breach within 10 days of written notice. Upon termination, the Client will pay for all Services performed and costs incurred up to the effective date of termination. Sections concerning payment, intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification survive termination.

20. Force Majeure

Neither party will be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disasters, internet or platform outages, labor disputes, governmental action, or other events of force majeure.

21. Independent Contractor Relationship

Local Boost Pro is an independent contractor, not an employee, agent, partner, or joint venturer of the Client. Nothing in these Terms creates an employment, partnership, or agency relationship between the parties.

22. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles. The parties agree that any dispute arising out of or relating to these Terms or the Services will first be addressed through good-faith negotiation between the parties, and if unresolved, will be subject to the exclusive jurisdiction and venue of the state and federal courts located in Virginia.

23. Changes to These Terms

Local Boost Pro may update these Terms from time to time. The "Last Updated" date at the top of this document reflects the most recent revision. Material changes will be communicated to active Clients by email or posted on the Site. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

24. Severability, Waiver & Assignment

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Local Boost Pro's failure to enforce any provision is not a waiver of that provision. The Client may not assign a Service Agreement without Local Boost Pro's prior written consent; Local Boost Pro may assign these Terms in connection with a merger, acquisition, or sale of assets.

25. Entire Agreement

These Terms, together with any applicable Service Agreement, constitute the entire agreement between the Client and Beyond Generation Corporation (d/b/a Local Boost Pro) regarding the Services, and supersede all prior or contemporaneous understandings, whether written or oral.
